Terms of Service

These Terms of Service ("Terms", "Terms of Service") govern your relationship with https://www.heropost.io website as well as http://dashboard.heropost.io/ website, http://app.heropost.io/ website, http://link.heropost.io/ website, https://heropost.ai/ website (the "Service") operated by Heropost Media Ltd. ("us", "we", or "our").

Please read these Terms of Service carefully before using our website Heropost.io (the "Service").

Your access to and use of the Service is based on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms and accept all legal consequences. If you do not agree to these terms and conditions, in whole or in part, please do not use the Service.

User Confirmations

By using our Services, you confirm that:

You will only use our Services for business and professional reasons
You are at least 18 years old or otherwise able to enter into a legally binding agreement
You accept and will comply with this Agreement
If using Services as a representative of an organization, you have power to enter into legally binding agreements for the organization
You are responsible for anyone using our Services through your account, such as employees, consultants or contractors ("Authorized Users")

Heropost Terminology

"Content": all information and data (text, images, photos, videos, audio and documents) in any format uploaded to, downloaded from or appearing on Services
"Customer Content": Content provided by you or your Authorized Users, or uploaded to Services
"Mentions": Content created by third parties obtained on your behalf from Social Networks or Third-Party Services
"Services": websites including heropost.io and all subdomains, mobile applications, and services accessed through them or Third-Party Services
"Third-Party Services": services not provided by Heropost accessed in connection with Services, including Social Networks (Facebook, Instagram, TikTok, X, LinkedIn, YouTube, Pinterest, Reddit, Telegram, Threads, Bluesky)
"you", "your", "Customer": the person or legal entity accessing Services; if accessing on behalf of a company or entity, refers to that organization

Heropost's Services

Subject to this Agreement, access and use of Services depends on your subscription plan. You may not use robots, spiders, crawlers or scraping technologies.

Services evolve constantly. Heropost may change, add or remove features at any time without liability or notice.

Services depend on Social Network availability and features, which Heropost does not control. If a Social Network changes availability or terms ("API Change"), Heropost may discontinue related features without liability.

Acceptable Use

You agree to use Services responsibly and in compliance with the rules of every Social Network you connect. You may not use Services to:

Send spam, bulk unsolicited messages, or repetitive, duplicative content designed to manipulate platform algorithms
Purchase, sell, or artificially inflate followers, likes, views, or any other form of engagement
Circumvent rate limits, posting restrictions, or automation rules imposed by any Social Network
Post content that is unlawful, infringing, deceptive, hateful, or that violates the terms of any connected Social Network
Access Services with robots, spiders, crawlers, or scraping technologies, or resell access to Services without our written consent
Interfere with or disrupt the integrity or performance of Services or the data contained in them

Violations of these Acceptable Use rules may result in immediate suspension or termination of your account. You — not Heropost — are responsible for any action a Social Network takes against your accounts as a result of content you publish or automation you configure through Services.

Subscriptions

Some Service parts are billed on subscription basis ("Subscription(s)"). Billing occurs in advance on recurring periodic basis ("Billing Cycle") set either monthly or annually.

At end of each Billing Cycle, Subscription automatically renews under same conditions unless cancelled by you or Heropost. Cancel through your online Billing management page or by contacting customer support.

A valid payment method (credit or debit card) is required. Provide accurate and complete billing information including full name, address, state, zip code, telephone number, and valid payment method. Submitting payment information automatically authorizes Heropost to charge all Subscription fees to payment instruments.

If automatic billing fails, Heropost will retry. If retries fail, Heropost will issue an invoice of owed charges payable within a deadline.

Lifetime Plans

Heropost may offer plans purchased with a single one-time payment ("Lifetime Plans"). Lifetime Plans do not renew, do not recur, and carry no ongoing billing of any kind.

"Lifetime" means the lifetime of the Service — for as long as Heropost operates and makes the Service commercially available — not the lifetime of the purchaser. A Lifetime Plan grants access to the feature set of the specific plan tier purchased, as described at the time of purchase. Heropost may improve, modify, or replace features over time, and is under no obligation to include future products, add-ons, or premium features in a Lifetime Plan.

Lifetime Plans are subject to fair use. Usage that materially exceeds what is reasonable for the plan tier purchased — including reselling access, sharing one account across multiple unrelated businesses, or automated usage patterns that degrade the Service for other customers — may result in usage limits, suspension, or termination under these Terms.

Notwithstanding anything else in these Terms, Lifetime Plans include a 30-day money-back guarantee. If you are not satisfied for any reason, contact us within 30 days of the date of payment and we will refund your Lifetime Plan purchase in full. The guarantee period runs from the date of payment, including where the purchase follows a free trial. The guarantee is limited to one refund per customer, and Heropost may decline a refund where the guarantee is being abused — for example, repeated purchase-and-refund cycles or purchases made primarily to extract short-term usage of the Service. Nothing in this section limits any non-waivable statutory rights that may apply in your jurisdiction.

Lifetime Plans are non-transferable and may not be resold, gifted, or reassigned to another person or entity without Heropost's written consent.

Free Trial

Heropost Media Ltd. may, at sole discretion, offer Subscription with free trial for limited period ("Free Trial").

You may be required to enter billing information to sign up for Free Trial. You will not be charged until Free Trial expires. On the last day of Free Trial period, unless you cancel, you will be automatically charged applicable Subscription fees for selected Subscription type.

At any time without notice, Heropost Media Ltd. reserves right to (i) modify Free Trial terms and conditions, or (ii) cancel Free Trial offer.

Fee Changes

Heropost Media Ltd., in sole discretion and at any time, may modify Subscription fees. Any fee change becomes effective at end of current Billing Cycle.

Heropost Media Ltd. will provide reasonable prior notice of Subscription fee changes to give opportunity to terminate before change becomes effective.

Your continued use after fee change constitutes agreement to pay modified amount.

Payment Terms, Trials and Renewal

Fees and Trials: You must pay all fees for Services. If you sign up for free trial of paid Service, a valid credit card or payment method is required. Heropost will charge automatically on first day after free trial ends, unless you cancel and uninstall paid apps before free-trial ends.

Paid Services: Apply to purchase of any paid Services.

Auto-Renewal of Services: Services plans renew automatically at end of term (monthly or annually depending on plan chosen), and Heropost will automatically bill on renewal unless you cancel or downgrade under Section 23.

Taxes: You are responsible for paying all taxes on all fees paid to Heropost. Local taxes may differ based on payment method.

Cancellation and Termination of Services

You may cancel or downgrade Services plan at any time by following outlined steps.

If you cancel (or downgrade) paid Services, you are not entitled to refund.

Certain refund requests for Subscriptions within 3 days may be considered by Heropost on case-by-case basis in Heropost's sole discretion.

Heropost may refuse to provide service to anyone for any reason at any time. Heropost may also immediately suspend or terminate access to Services for any reason, at any time, without notifying in advance. If Heropost terminates this Agreement because you violated Acceptable Use Rules or other Agreement parts, you will not receive refund. If Heropost terminates access under this section for no reason, Heropost will refund for Services not yet received.

Content

Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for Content you post, including its legality, reliability, and appropriateness.

By posting, uploading or submitting Content to Service, you grant Heropost right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through Service. You retain all rights to any Content you submit, post, upload or display and are responsible for protecting those rights.

You represent and warrant that: (i) Content is yours (you own it) or you have right to use it and grant Heropost the rights and license as provided, and (ii) posting, uploading or submitting Content does not violate privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

Heropost reserves all rights to block or remove communications or materials determined to be: (a) abusive, defamatory, or obscene; (b) fraudulent, deceptive, or misleading; (c) in violation of copyright, trademark or other intellectual property right of another; or (d) offensive or otherwise unacceptable in Heropost's sole discretion.

You acknowledge that by providing ability to view and distribute user-generated content, Heropost is merely acting as passive conduit for such distribution and is not undertaking any obligation or liability relating to contents or activities on Service.

AI Features

Services may include features that use artificial intelligence to generate, suggest, or transform content ("AI Features"). Output produced by AI Features is provided "as is." Heropost makes no guarantee that AI output is accurate, complete, original, or suitable for publication, and you are solely responsible for reviewing and approving any AI-generated content before publishing it to any Social Network.

As between you and Heropost, and to the extent permitted by law, you own the output that AI Features generate for you, and you are responsible for it as your Customer Content under these Terms. You may not use AI Features to generate content that is unlawful, deceptive, infringing, or that violates the Acceptable Use rules above.

AI Features may be metered, rate-limited, or subject to fair-use limits, and their availability may vary by plan. Heropost may modify, suspend, or discontinue any AI Feature at any time.

Copyright Complaints

Heropost respects intellectual property rights and expects users to do the same. If you believe that content made available through the Service infringes your copyright, contact us with: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the material claimed to be infringing and its location; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

Heropost will remove or disable access to infringing material upon receipt of a valid notice and will terminate the accounts of repeat infringers.

Beta Features

Heropost may make early-access, preview, or beta features available to you ("Beta Features"). Beta Features are provided "as is" for evaluation purposes, are excluded from any warranties or commitments in these Terms, may contain bugs or errors, and may be changed or discontinued at any time without notice or liability.

Accounts

When you create account, you must provide information that is accurate, complete, and current at all times. Failure constitutes breach of Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password used to access Service and for any activities or actions under your password, whether with Heropost or third-party service.

You agree not to disclose password to any third party. You must notify Heropost immediately upon becoming aware of any security breach or unauthorized account use.

You may not use as username the name of another person or entity or name not lawfully available for use, a name or trademark subject to rights of another person or entity without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Intellectual Property

Service and all contents, including text, images, graphics or code are property of Heropost Media Ltd. and are protected by copyright, trademarks, database and other intellectual property rights. You may display and copy, download or print portions of material from Service only for your own non-commercial use. Any other use is strictly prohibited and may violate copyright, trademark and other laws. These Terms do not grant license to use any trademark of Heropost Media Ltd. or affiliates. You further agree not to use, change or delete any proprietary notices from materials downloaded from Service.

Links To Other Websites

Service may contain links to third-party web sites or services not owned or controlled by Heropost Media Ltd.

Heropost Media Ltd. has no control over, and assumes no responsibility for, content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Heropost Media Ltd. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services.

Heropost strongly advises you to read terms and conditions and privacy policies of any third-party web sites or services that you visit.

Links and Usage of Other Services

Service is integrated with and links to other services ("Linked Services"). Integration has been provided for Users' convenience, and Users access Linked Services at their own risk. Linked Services are not under Heropost's control, and Heropost is not responsible for contents of any Linked Services. A link does not imply endorsement of, sponsorship of, or affiliation with linked site by Heropost. Without limiting the foregoing, Heropost is not responsible and shall have no liability for any viruses or other illicit code resulting from accessing Linked Services.

Collaborators acknowledge and agree that functionality of Linked Services depends on Customer assigning Users access to Service. As long as Users utilize Heropost's Service and its Linked Services, Users acknowledge and agree that Heropost shall have access to, and a license to use the content of such Linked Services.

Users acknowledge and agree that they are simultaneously bound by each Linked Service's terms and policies, which may specify rules and restrictions for posting certain content, and Linked Services' practices for using, storing, and facilitating exercise of certain rights in respect to personal information. Users further acknowledge and agree that they are solely responsible for reviewing and accepting Linked Services' terms and any liability arising from or relating to breach of any such terms.

With Linked Services for third-party integration, Users may be asked to verify credentials in future. It is Users' sole responsibility to track, refresh, and monitor credentials.

Users acknowledge and agree that Linked Services may add, remove, bifurcate, and otherwise modify features of their third-party services ("Modifications"). Company is not responsible and shall have no liability for disturbances of Service caused by Modifications to Linked Services.

Revoking API Access

To revoke Heropost's access to YouTube Data, visit your Google Account Security Settings Page and remove Heropost from allowed Apps.

Termination

Heropost may terminate or suspend access to Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach Terms.

All provisions of Terms shall survive termination, including ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Upon termination, your right to use Service will immediately cease. If you wish to terminate your account, you may simply discontinue using Service.

Indemnification

You agree to indemnify, defend and hold harmless Heropost Media Ltd., its principals, officers, directors, representatives, employees, contractors, licensors, licensees, suppliers and agents, from and against any claims, losses, damages, obligations, costs, actions or demands.

These include but are not limited to: (a) legal and accounting fees resulting from your use of Service; (b) your breach of any of these Terms; (c) anything you post on or upload to or otherwise submit to Service; and (d) any activity related to your account. This includes any negligent or illegal conduct by you, any person or entity accessing Service using your account whether such access is obtained via fraudulent or illegal means.

Limitation Of Liability

Heropost Media Ltd., its directors, employees, partners, agents, suppliers, or affiliates, shall not be liable for any loss or damage, direct or indirect, incidental, special, consequential or punitive damages, including without limitation, economic loss, loss or damage to electronic media or data, goodwill, or other intangible losses, resulting from (i) your access to or use of Service; (ii) your inability to access or use Service; (iii) any conduct or content of any third-party on or related to Service; (iv) any content obtained from or through Service; and (v) unauthorized access to, use of or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other claim in law, whether or not Heropost has been informed of possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

To the maximum extent permitted by law, Heropost's total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the amount you paid to Heropost for the Service in the twelve (12) months preceding the event giving rise to the claim.

Disclaimer And Non-Waiver of Rights

Heropost Media Ltd. makes no guarantees, representations or warranties of any kind as regards website and associated technology. Any purportedly applicable warranties, terms and conditions are excluded, to fullest extent permitted by law. Your use of Service is at your sole risk. Service is provided on an "AS IS" and "AS AVAILABLE" basis. Service is provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for particular purpose, non-infringement or course of performance, except as provided for under laws of any province in Canada. In such cases, provincial law shall apply to extent necessary.

Heropost Media Ltd., its subsidiaries, affiliates, and its licensors do not warrant that (a) Service will function uninterrupted, secure or available at any particular time or location; (b) any errors or defects will be corrected; (c) Service is free of viruses or other harmful components; or (d) results of using Service will meet your requirements.

If you breach any of these Terms and Heropost Media Ltd. chooses not to immediately act, or chooses not to act at all, Heropost Media Ltd. will still be entitled to all rights and remedies at any later date, or in any other situation where you breach these Terms. Heropost Media Ltd. does not waive any of its rights. Heropost Media Ltd. shall not be responsible for any purported breach of these Terms caused by circumstances beyond its control. A person who is not a party to these Terms shall have no rights of enforcement.

You may not assign, sub-license or otherwise transfer any of your rights under these Terms.

Exclusions

As set out above, some jurisdictions do not allow exclusion of certain warranties or exclusion or limitation of liability for consequential or incidental damages, so limitations above may not apply to you. Provincial laws of Canada may apply to certain products and services provided.

Governing Law

These Terms shall be governed by, and interpreted and enforced in accordance with, laws in Province of Quebec and laws of Canada, as applicable.

If any provision of these Terms is held to be invalid or unenforceable by court of competent jurisdiction, then any remaining provisions of Terms will remain in effect. These Terms constitute entire agreement between us regarding Service, and supersede and replace any prior agreements, oral or otherwise, regarding Service.

Changes

Heropost reserves right, at its sole discretion, to modify or replace these Terms at any time. If revision is material, Heropost will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes material change will be determined at Heropost's sole discretion.

By continuing to access or use Service after those revisions become effective, you agree to be bound by revised terms. If you do not agree to new terms, in whole or in part, please stop using website and Service.
